Boards should consider appraising the performance of the chairpersons on an annual or more frequent basis, as may be determined by boards. Boards should also, on an annual basis, review and evaluate their required mix of skills, experience and other qualities in order to assess the effectiveness of the entire board, its committees, and the contribution of each individual director during their entire term of office. Boards should ensure that confidential board and director appraisal is conducted on an annual basis and establish an appropriate mechanism for reporting the results of the board assessments to shareholders.
